Terms of Service — memo beta (memo.somethinggood.io)

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Create Something Good Inc (“we,” “us,” or “our”) governing your access to and use of memo, our beta product available at memo.somethinggood.io (the “Service”).


By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.


If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Beta Service

The Service is currently provided as a beta product. This means:

  • The Service may contain bugs, errors, or instability.

  • Features may be added, modified, or removed without notice.

  • We may limit, suspend, or discontinue the beta at any time.

  • Data stored during the beta — including voice recordings, photos, and account data — may be lost, reset, or deleted without notice. You are encouraged to maintain your own copies of important content.

  • We offer no service level agreement or uptime guarantees during the beta period.


We appreciate your participation in our beta and welcome feedback. Your use of the beta Service is at your own risk, and we make no guarantees about the availability, reliability, or continuity of the Service during this period.

3. Eligibility

You must be at least 13 years of age to use the Service. If you are located in the European Economic Area or the United Kingdom, you must be at least 16 years of age. By using the Service, you represent and warrant that you meet the applicable age requirement and have the legal capacity to enter into these Terms.


The Service is not available to individuals or entities that have previously been suspended or removed from the Service, or to individuals in jurisdictions where the Service is prohibited by applicable law.

4. Account Registration

memo uses your mobile phone number as your primary account identifier. To create an account, you provide your phone number and verify it by entering a one-time code sent to you via SMS. An email address is not required but may be linked to your account after registration for notification purposes.


When registering, you agree to:

  • Provide your accurate phone number and promptly update it if it changes.

  • Keep your account credentials confidential and not share access with others.

  • Notify us immediately at info@somethinggood.io if you suspect any unauthorised use of your account.

  • Be responsible for all activity that occurs under your account.


Phone number transfer. If you change your phone number, memo offers a feature that allows you to migrate your memories and account data to a new number. During this process, your existing account data is associated with the new number and your old account is closed. We are not responsible for any data loss that occurs if the transfer process is interrupted.


We reserve the right to refuse registration or cancel accounts at our discretion.

5. Description of the Service

memo is a voice-and-photo memory app that enables users to capture, store, and revisit personal memories through voice recordings, photographs, and written notes. Core features of the Service include:

  • Voice recording and playback: capture audio memories and play them back within the app.

  • AI transcription and summarisation: voice recordings are automatically transcribed using OpenAI’s Whisper API, and a short memory title is generated using OpenAI’s GPT-4o model. By using voice recording features, you consent to the transmission of your audio to OpenAI for processing as described in our Privacy Policy.

  • Live voice features: memo may offer a live voice interaction feature powered by OpenAI’s Realtime API. This feature will be clearly labelled within the app when available.

  • Collaborative memories: invite others to add their voice to your memories via a shareable link. Guests can contribute without creating an account.

  • Photo and music: attach photographs and YouTube music links to your memories.

  • Phone authentication: your identity is verified via SMS one-time codes powered by Twilio Verify.


We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice

6. Subscription and Payment

memo is offered at a subscription price of $5.00 USD per month (or such other pricing as communicated to you at sign-up). By subscribing, you authorise us to charge your designated payment method on a recurring monthly basis.


During the beta period, we may offer free access or modified pricing. Any such arrangement will be communicated to you explicitly and may change when the beta period ends.


All fees are non-refundable except where required by applicable law. We reserve the right to change our pricing at any time with reasonable notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.


You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.

7. Voice Recordings and Media

A core feature of memo is the ability to record, store, and play back voice recordings and photographs. By using these features, you:

  • Explicitly consent to the recording, storage, and processing of your voice and any other audio captured through the Service.

  • Acknowledge that your voice recordings are transmitted to OpenAI for transcription and summarisation as described in Section 5 and in our Privacy Policy.

  • Confirm that you have the consent of any other individuals whose voices or likenesses may be captured in your recordings or photos.

  • Acknowledge that your voice recordings are stored on cloud infrastructure and processed in accordance with our Privacy Policy.


We do not use your voice recordings for any purpose other than providing and improving the Service, as described in our Privacy Policy. We do not sell, licence, or share your recordings with third parties for commercial purposes without your explicit consent.

8. Communications Services and Twilio

memo uses Twilio, Inc. (“Twilio”) for phone number authentication and for SMS and voice communication features. Specifically:

  • Authentication: Twilio Verify is used to send one-time verification codes to your phone number when you register or sign in. Your phone number is shared with Twilio for this purpose.

  • In-app communications: where the Service includes SMS or voice communication features, these are powered by Twilio.


By using the Service, you agree to:

  • Twilio’s own terms of service and acceptable use policies, available at twilio.com.

  • Not use communication features for spam, phishing, or any unlawful purpose.

  • Comply with all applicable laws governing electronic communications, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act in the United States, the Privacy and Electronic Communications Regulations (PECR) in the United Kingdom, and equivalent regulations in your jurisdiction.

  • Obtain all required consents from recipients before sending them messages through the Service.


We may suspend or terminate your access to communication features if we determine, in our sole discretion, that you have violated these requirements or Twilio’s policies.

9. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Violate any applicable local, national, or international law or regulation.

  • Use the Service to transmit unsolicited, deceptive, or fraudulent communications.

  • Attempt to gain unauthorised access to our systems or those of third parties.

  • Upload, transmit, or distribute viruses, malware, or other harmful code.

  • Interfere with or disrupt the integrity or performance of the Service.

  • Harvest or collect personal data about other users without their consent.

  • Use the Service to harass, abuse, threaten, or defame any person.

  • Upload recordings or content that you do not have the right to share, or that infringe any third party’s intellectual property, privacy, or other rights.

  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

  • Reverse engineer, decompile, or disassemble any part of the Service.


We reserve the right to suspend or terminate your access for violations of this policy, without prior notice.

10. User Content

The Service allows you to create, upload, and store content, including voice recordings, photographs, and written notes (“User Content”). You retain full ownership of your User Content.


By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, and process your User Content solely to provide and improve the Service, including transmission to third-party processors (such as OpenAI for transcription) as described in our Privacy Policy. We do not claim ownership of your memories.


You represent and warrant that:

  • You own or have the necessary rights to the User Content you submit.

  • Your User Content does not infringe any third-party intellectual property, privacy, or other rights.

  • Your User Content complies with these Terms and all applicable laws.


We do not routinely monitor User Content but reserve the right to remove content that violates these Terms or applicable law.

11. Intellectual Property

The Service and all content, features, and functionality provided by Create Something Good Inc (excluding User Content), including software, graphics, logos, and text, are owned by Create Something Good Inc or its licensors and are protected by applicable intellectual property laws.


You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal purposes, subject to these Terms. You may not reproduce, distribute, modify, or create derivative works of any part of the Service without our express written consent.

12. Third-Party Services

The Service integrates with a number of third-party services. Your use of these services is subject to their own terms and privacy policies:

  • Twilio, Inc. — phone authentication and SMS (twilio.com).

  • OpenAI, Inc. — voice transcription, AI summarisation, and live voice features (openai.com).

  • Resend, Inc. — transactional email delivery (resend.com).

  • Mixpanel, Inc. — product analytics and session recording (mixpanel.com).

  • Vercel, Inc. — web hosting and performance analytics (vercel.com).

  • Google LLC — YouTube embedded players, where you attach a YouTube video to a memory (policies.google.com).


We are not responsible for the practices or content of these third-party services. Links or integrations are provided for the purpose of delivering the Service and do not constitute our endorsement of those services.

13. Privacy

Your use of the Service is subject to our Privacy Policy, available at somethinggood.io/privacy. By using the Service, you agree to the collection, use, and processing of your information — including voice recordings, photographs, AI-generated transcriptions, and session data — as described in the Privacy Policy.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.


BECAUSE THE SERVICE IS IN BETA, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT DATA — INCLUDING VOICE RECORDINGS AND PHOTOGRAPHS — WILL BE PRESERVED OR THAT THE SERVICE IS FREE OF HARMFUL COMPONENTS.


Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CREATE SOMETHING GOOD INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.


OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).


Some jurisdictions do not allow the limitation of certain damages, so some of these limitations may not apply to you. In particular, if you are located in the United Kingdom or European Economic Area, nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.

16. Indemnification

You agree to defend, indemnify, and hold harmless Create Something Good Inc and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service.

  • Your User Content.

  • Your violation of these Terms.

  • Your violation of any third-party rights, including intellectual property or privacy rights.

  • Your failure to obtain required consents from individuals whose voice or likeness you capture through the Service.

17. Termination

You may close your account at any time by contacting us at info@somethinggood.io or using the account deletion feature within the Service. Upon account deletion, your data will be handled as described in our Privacy Policy.


We may suspend or terminate your access to the Service at any time, with or without cause and without prior notice. Upon termination, your right to use the Service ceases immediately.


Provisions of these Terms that by their nature should survive termination (including Sections 10, 11, 14, 15, 16, 18, and 19) will survive termination.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.


If you are located in the United Kingdom or European Economic Area, you may also benefit from any mandatory consumer protection provisions of the law of your country of residence, and nothing in these Terms affects your rights under those provisions.


Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the parties cannot resolve a dispute within 30 days, either party may bring a claim in the courts of competent jurisdiction in Delaware, or in the courts of your country of residence if required by applicable mandatory law.


You and we each waive any right to a jury trial in connection with any dispute arising under these Terms, to the extent permitted by applicable law.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

19.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign these Terms or your rights hereunder without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

19.5 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the Effective Date above and, where appropriate, by email. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
